What is "u'Shemartem Es ha'Davar ha'Zeh" referring to?

Ramban: It refers to the basic Korban Pesach mentioned in 12:21, 1 and not to the blood that is mentioned immediately prior to it.

Mechilta: With reference to 12:21, it teaches us that also future Pesachim must comprise a lamb or a kid-goat. 2

How will we reconcile the Pasuk, "l'Chok Lecha ul'Vanecha" and the fact that "Banecha" always excludes women, with the opinion that women are obligated to bring the Korban Pesach?

Moshav Zekenim (citing R. Yehudah Kohen): According to that opinion, "ul'Vanecha" here teaches that even a woman 1 may not offer the Pesach, if her sons are not circumcised. 2

Hadar Zekenim answers similarly; but perhaps he means that the Pasuk teaches that circumcising sons is Me'akev the sons from eating; his words are unclear.

Why do we say that bringing the Korban Pesach is [only] an Aseh, when the term "u'Shemartem" always refers to a Lav?
